STG-ERP: Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Enterprise Resource Planning (ERP) software and related services (collectively, the "Service") provided by the Store Technology Group ("Provider," "we," "us").

By accessing, logging into, or using the Service, you ("User," "you") agree to be bound by these Terms, as well as the organization's Employee Handbook, Information Security Policy, and Data Privacy Policy. If you do not agree to these Terms, you are not authorized to access the Service.

2.1 License Grant Subject to your compliance with these Terms and your continued employment or contract with the organization, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly for internal business purposes related to your assigned job duties.

2.2 Internal Use Only The Service is a proprietary tool intended solely for use within the Store Technology Group organization. You may not use the Service for personal gain, freelance work, or any purpose outside the scope of your employment or contract.

3.1 Account Security

• You are responsible for maintaining the confidentiality of your login credentials (SSO, username, password).
• You may not share your credentials with any other person, including other employees.
• You must immediately notify CentralOperations@storetechgroup.com of any unauthorized use of your account.

3.2 Prohibited Acts You agree not to:

• Reverse Engineer: Decompile, disassemble, or attempt to derive the source code of the Service.
• Data Scraping: Use automated systems (bots, scrapers) to extract data from the Service without explicit written authorization.
• Circumvention: Bypass or attempt to bypass any security measures or access controls of the Service.
• Malicious Activity: Introduce viruses, worms, malware, or harmful code into the Service.
• Harassment: Use the Service to transmit offensive, harassing, or discriminatory content.

4.1 Organization Ownership You acknowledge that the Service and all data entered, processed, or generated within the Service ("System Data") are the sole property of the Store Technology Group organization. You have no personal ownership rights to any data or content created within the Service.

4.2 Confidentiality All information contained within the ERP system—including but not limited to financial records, inventory data, employee information, and strategic plans—is designated as Confidential Information. You agree to:

• Access only the data necessary for your specific job function ("Least Privilege" principle).
• Not disclose System Data to any third party or unauthorized internal personnel.
• Comply with all applicable Non-Disclosure Agreements (NDAs) signed with the organization.

5.1 No Expectation of Privacy You acknowledge that you have no reasonable expectation of privacy regarding your use of the Service. The Store Technology Group reserves the right to monitor, intercept, review, and record your activity within the Service at any time, with or without notice, to ensure compliance with these Terms and applicable laws.

5.2 Usage Analytics We may collect and analyze data regarding your usage patterns (e.g., login times, features used) to improve system performance and optimize business processes.

The Service, including its interface, code, graphics, and logic, is the intellectual property of the Store Technology Group or its licensors. Your use of the Service does not grant you any rights, title, or interest in the intellectual property aside from the limited usage license described in Section 2.

7.1 "As Is" Basis The Service is provided for internal use on an "AS IS" and "AS AVAILABLE" basis. The Store Technology Group makes no warranties, whether express or implied, regarding the Service's reliability, accuracy, or uptime.

7.2 Limitation of Liability To the extent permitted by law, the Store Technology Group shall not be liable for any indirect, incidental, or consequential damages resulting from your use or inability to use the Service, including but not limited to loss of data or work stoppages.

We reserve the right to suspend or terminate your access to the Service immediately and without notice if:

• You violate these Terms.
• Your employment or contract with the organization ends.
• There is a security risk associated with your account.
• The Service is discontinued or modified.

We reserve the right to modify these Terms at any time. Significant changes will be communicated through organization-wide channels (e.g., email, intranet). Continued use of the Service after such changes constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, and applicable US federal laws, without regard to conflict of law principles.
